Contractual framework
Terms of use and sale
These terms govern access to the website, ordering a plan and use of the Optima-Tools software.
Version dated 30 September 2026. An accepted plan, quotation or specific contract prevails over these terms in case of conflict.
1. Provider and purpose
The service is provided by Optima-Tools, Switzerland, at info@optima-tools.ch. Additional legal contact details appear on the order or contract where required. The website presents the software, supports demonstration requests and, when available, licence orders.
2. Plan and contract formation
Features, duration, price and included rights are those displayed when the order is placed. The Enterprise plan includes 30 free days, followed by CHF 99 per month or CHF 999 per year, depending on the selected plan. The subscription renews automatically until cancelled. The payment card is saved during the free period and the first charge occurs when that period ends unless the customer has cancelled.
Customers can cancel through the link in their emails or on the website’s licence page. Cancellation stops the next renewal and takes effect at the end of the current billing period. Access remains available until then; the period already started is non-refundable, subject to mandatory legal rights.
Website information does not replace a specific quotation or contract for installation, integration, hardware, training or bespoke development.
3. Licence and users
The licence grants a non-exclusive, non-transferable right of use limited to the organisation, installation and term shown. Where a plan includes unlimited users, this applies within the licensed organisation and does not permit redistribution of the software or key to a third party.
The key, private links and installer must remain under the customer's control. Copying, resale, publication, circumvention or provision to another organisation is prohibited.
4. Delivery, activation and recovery
After confirmation, download and activation information is sent to the supplied address. The current flow provides a private link valid for 30 days and limited to 10 downloads. Recovery resends access to the order address without creating a new licence.
5. Hardware, AI engines and third parties
Hardware is supplied by the customer unless agreed otherwise in writing. Performance depends on the configuration. Local or remote AI engines, Stripe, model platforms and other connected services are separate services with their own terms, costs and data rules.
Optima-Tools provides an interface and configuration functions; it does not guarantee the accuracy of model-generated output. Users must verify output before sensitive decisions or use.
6. Updates and availability
Corrective or functional updates may be offered. They may change functions or require a compatible configuration. Maintenance, hosting incidents, third-party services or the customer's connection may temporarily affect orders, downloads or connected functions.
7. Customer responsibilities
- use the software lawfully and respect third-party rights;
- protect accounts, keys, data and backups;
- not circumvent protections or access administration services;
- obtain permissions for documents and data entered into tools;
- maintain a compatible and secure technical environment.
8. Intellectual property and liability
The software, website, trademarks, text and graphics remain protected. The licence transfers no ownership.
Within the limits allowed by law, each party is liable for direct damage caused by a proven breach. Optima-Tools is not liable for decisions made without human verification, third-party services, incompatible configurations, losses preventable by backups or misuse. Mandatory rights, including consumer rights where applicable, remain unaffected.
9. Data, end of access and governing law
Data processing is described in the privacy policy. On expiry, licensed functions may be suspended; any specific retention or export terms appear in the applicable plan.
Swiss law applies, subject to mandatory provisions. The parties will first seek an amicable solution. Jurisdiction is determined by applicable law and, where relevant, the specific contract.
